These Terms and Conditions ("Terms") govern your use of Overlook, a desktop application provided by REPL Made LLC ("we", "us", or "our"). By purchasing, downloading, or using Overlook, you agree to be bound by these Terms.

1. Description of Service

Overlook is a native desktop application that enables users to interact with Large Language Models (LLMs) through various third-party providers including OpenAI, Anthropic, OpenRouter, and local models through Ollama and LM Studio. Overlook acts solely as a client interface and does not provide, host, or operate any LLM services directly.

2. User Requirements

To use Overlook, you must:

• Provide your own API keys for third-party LLM services (OpenAI, Anthropic, OpenRouter, etc.)
• Configure and maintain your own local LLM servers (Ollama, LM Studio) if using local models
• Ensure you have valid accounts and agreements with any third-party LLM providers you choose to use
• Be at least 18 years of age or have parental consent to use the software

3. License

Upon payment of the annual subscription fee, we grant you a limited, non-exclusive, non-transferable license to install and use Overlook on your personal devices. This license is valid for one year from the date of purchase and may be renewed annually.

4. Third-Party Services

Overlook integrates with third-party LLM services. You acknowledge and agree that:

• Your use of third-party services is governed by their respective terms of service and privacy policies
• We are not responsible for the availability, performance, or content of third-party LLM services
• You are solely responsible for any costs incurred through your use of third-party API services
• We do not have access to, control over, or responsibility for your API keys or third-party accounts
• Any disputes with third-party providers are between you and those providers

5. User Data and Privacy

Overlook is designed with privacy in mind:

• Your conversations and API keys are stored locally on your device
• We do not collect, transmit, or store your conversation data on our servers
• We do not have access to your API keys or credentials for third-party services
• Your data is transmitted directly to the LLM providers you choose to use

6. Payment and Refunds

Overlook is offered as an annual subscription at $29 per year. Payment is processed securely through Stripe.

30-Day Money-Back Guarantee: We offer a full refund within 30 days of your initial license purchase if you are not satisfied with Overlook for any reason. To request a refund, please contact us at support@overlook.chat with your purchase details.

Please note that upon processing a refund:

• Your license will be immediately revoked
• You will no longer have access to use Overlook beyond any applicable trial period
• All software updates and support will cease

Refund requests made after 30 days from the date of purchase will be considered on a case-by-case basis at our sole discretion.

7. Updates and Support

Your subscription includes:

• Access to all software updates and new features released during your subscription period
• Technical support for issues related to the Overlook application itself
• Support does not include assistance with third-party LLM services, API configuration, or issues arising from third-party providers

8. Disclaimer of Warranties

OVERLOOK IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. WE DO NOT WARRANT THAT:

• The software will meet your specific requirements
• The software will be uninterrupted, timely, secure, or error-free
• Third-party LLM services will be available or function as expected
• Any content generated by LLMs will be accurate, appropriate, or suitable for your purposes

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, REPL MADE LLC SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, data, use, or other intangible losses
• Damages arising from your use of or inability to use third-party LLM services
• Content generated by third-party LLMs accessed through Overlook
• Costs incurred through your use of third-party API services

Our total liability shall not exceed the amount you paid for your current subscription period.

10. Acceptable Use

You agree not to:

• Use Overlook for any unlawful purpose or in violation of any applicable laws
• Reverse engineer, decompile, or disassemble the software
• Remove, alter, or obscure any proprietary notices on the software
• Share your license or allow others to use your licensed copy
• Use Overlook in any manner that could damage, disable, or impair our services

11. Intellectual Property

Overlook, including all code, design, graphics, and documentation, is the intellectual property of REPL Made LLC and is protected by copyright and other intellectual property laws. Your license does not grant you any ownership rights to the software.

12. Termination

We may terminate or suspend your license immediately if you breach these Terms. Upon termination, you must cease all use of Overlook and delete all copies from your devices. Sections that by their nature should survive termination shall survive, including but not limited to warranty disclaimers and limitations of liability.

13. Export Compliance

You agree to comply with all applicable export and import laws and regulations. You shall not export or re-export Overlook to any country, person, or entity subject to U.S. export restrictions.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of material changes via email or through the application. Your continued use of Overlook after changes become effective constitutes acceptance of the modified Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

16. Entire Agreement

These Terms constitute the entire agreement between you and REPL Made LLC regarding Overlook and supersede all prior agreements and understandings.

18. Severability
